End User License Agreement

Please read these license terms carefully before installing or using Sargo.

1. License Grant

Sargo is licensed, not sold. This End User License Agreement (the “Agreement”) is a legal agreement between you (an individual or a business) and AdvancePH (Gene Phillip Artista), the developer and licensor of Sargo.

Subject to your compliance with this Agreement and payment of any applicable fees, AdvancePH grants you a non-exclusive, non-transferable, revocable license to install and use Sargo for your billiard hall operations. This Agreement does not give you any ownership interest in Sargo itself.

By installing, copying, activating, or otherwise using Sargo, you agree to be bound by this Agreement. If you do not agree, do not install or use the software.

2. License Scope

Your license defines how many devices may run Sargo:

  • One license is valid for one device unless otherwise agreed in writing.
  • Running Sargo on additional computers requires additional licenses, one per device.
  • Enterprise, multi-branch, or volume agreements may have different terms. Where a separate written agreement exists between you and AdvancePH, that agreement governs the number of devices and any special conditions.

3. Permitted Use

Within the scope of your license, you may:

  • Install Sargo on a licensed device.
  • Operate the software to manage your billiard hall — tables, session timers, billing, reservations, and reports.
  • Use Sargo for legitimate business purposes in the ordinary course of running your operations.

4. Restrictions

Except where a right cannot lawfully be restricted under applicable law, you may not:

  • Redistribute, resell, sublicense, rent, lease, or lend the software.
  • Reverse engineer, decompile, or disassemble the software, or attempt to derive its source code.
  • Modify, adapt, or create derivative works of the software.
  • Circumvent, disable, or otherwise bypass any licensing, activation, or validation mechanism.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
  • Use the software in any way that violates applicable law or the rights of others.

5. License Activation

Sargo uses license activation to confirm that your copy is properly licensed. An internet connection may be required for:

  • Activation of your license key.
  • Periodic validation of your license.
  • Subscription verification, where applicable.
  • Downloading and installing software updates.

Sargo is designed to be offline-first. Once activated, supported features remain available for everyday use without a continuous internet connection. Connectivity is only needed for the specific licensing, verification, and update activities described above and for any future cloud-enabled features you choose to use.

6. Ownership

AdvancePH and its licensors retain all right, title, and interest in and to Sargo, including all intellectual property rights in the software, its design, and its trademarks. All rights not expressly granted to you in this Agreement are reserved by AdvancePH.

You retain full ownership of your business data — the tables, sessions, billing, reservations, and customer records you create and store while using Sargo. AdvancePH does not claim ownership of your business data.

7. Updates

From time to time, AdvancePH may release updates to Sargo, including:

  • Bug fixes.
  • Security updates.
  • Feature updates and improvements.

Some updates may require an internet connection and license validation to install or continue using the software. Updates are provided under the terms of this Agreement unless a particular update is accompanied by its own separate terms.

8. Support

The availability, scope, and duration of technical support depend on the subscription plan or agreement you have purchased. Different plans may include different levels of support, and support for a given license may be limited to the period during which your subscription or support entitlement is active. AdvancePH may offer support through email or other channels at its discretion.

9. Disclaimer of Warranties

AdvancePH works hard to make Sargo reliable and useful. However, to the maximum extent permitted by applicable law, Sargo is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

AdvancePH does not warrant that the software will be uninterrupted, error-free, or free of every defect. You are responsible for keeping your device secure and for maintaining regular backups of your business data. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AdvancePH and its owners and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of or inability to use Sargo, even if advised of the possibility of such damages.

To the extent AdvancePH is found liable, its total aggregate liability arising out of or related to this Agreement will not exceed the amount you actually paid for the license during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you, and nothing in this Agreement limits liability that cannot be limited under applicable law.

11. Termination

This license remains in effect until terminated. AdvancePH may suspend or terminate your license if:

  • You violate the terms of this Agreement.
  • Unauthorized or unlicensed copies of the software are used.
  • Licensing or activation mechanisms are intentionally bypassed or tampered with.

Upon termination, you must stop using Sargo and remove all copies from your devices. Termination of the license does not affect your ownership of your business data, and the provisions of this Agreement that by their nature should survive — including ownership, disclaimers, and limitation of liability — will continue to apply.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law principles. Any dispute arising out of or relating to this Agreement will be subject to the jurisdiction of the appropriate courts of the Philippines, except where applicable law grants you the right to bring proceedings elsewhere.
